Brink's to Acquire NCR Atleos for $6.6 Billion
The Brink's Company announced a definitive agreement to acquire NCR Atleos in a cash and stock deal valued at $6.6 billion, including 13.3 million shares and $2.2 billion cash, plus assuming $2.6 billion debt. The deal offers a 24% premium over NCR Atleos' February 25 closing price and is expected to close in Q1 2027 pending approvals.
Post-closing, Brink's shareholders will own 78% of the combined entity.
Mistral AI Partners with Accenture on Enterprise AI Tech
French AI lab Mistral AI announced a multiyear partnership with Accenture to develop enterprise tech using Mistral’s models for clients. Accenture will become a Mistral customer and deploy its tech internally.
This follows similar Accenture deals with OpenAI and Anthropic, amid efforts to boost enterprise AI adoption.
Cemex Acquires Omega Products International
Cemex reached an agreement to acquire all assets of Omega Products International, a leading U.S. stucco manufacturer generating $23M annual EBITDA. Omega serves residential and commercial sectors with products from four facilities.
The JIAN Group represented Omega in the transaction.
Victory Capital Proposes Acquisition of Janus Henderson
Victory Capital affirmed its fully financed proposal to acquire Janus Henderson at $57.04 per share, a 37% premium to the unaffected price as of October 24, 2025. The bid aims to create a leading asset manager.
Details were released on February 26.
Blackbird Ventures Sells Eucalyptus to Hims & Hers for $1.15B
K&L Gates advised Blackbird Ventures on the $1.15 billion sale of Australian digital health firm Eucalyptus to Hims & Hers Health, Inc. Eucalyptus serves over 775,000 customers via telehealth for chronic disease management.
The deal is expected to close mid-2026 pending approvals.
